1. About these terms
These Terms of Service ("Terms") govern your use of the PRISM Agency website (prism-agency.co.uk) and any staffing services supplied by PRISM Agency, registered company number 15904998, of London U.K. ("PRISM", "we", "us"). By browsing the site or engaging us, you agree to these Terms.
2. Bookings & contracts
Every engagement is subject to a written booking confirmation outlining roles, dates, rates, locations and dress code. The confirmation, together with these Terms, forms the contract between you and PRISM. Verbal briefs are not binding until confirmed in writing.
3. Rates & payment
Rates are quoted in GBP unless otherwise stated and exclude VAT, travel, accommodation, visa fees and any wardrobe pulls. Invoices are issued on booking confirmation and on completion of the activation, payable within 14 days. Late payments accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Cancellations
Cancellations more than 14 days before call time are refundable less a 15% admin fee. Cancellations within 7–14 days incur 50% of the booking value. Cancellations within 7 days incur 100% of the booking value plus any third-party costs already committed (uniforms, travel, accommodation).
5. Crew conduct
PRISM crew are vetted, insured and briefed. We retain final discretion over crew assignment and replacement. The client must provide a safe working environment, accurate call times, reasonable rest breaks and a single named point of contact on site.
6. Non-solicitation
For 12 months after any booking, the client agrees not to engage any PRISM crew member directly or via a third party without our written consent. A buy-out fee of 25% of the crew member's annual day-rate value applies if this clause is breached.
7. Intellectual property & confidentiality
All briefs, decks, rosters and pricing supplied by PRISM remain our intellectual property and may not be shared outside the client's organisation. PRISM and our crew operate under NDA by default; client confidential information is protected for 3 years post-engagement.
8. Liability
PRISM carries Public Liability and Employers' Liability insurance. Our aggregate liability for any single engagement is capped at the total fees paid by the client for that engagement. We are not liable for indirect, consequential or loss-of-profit damages. Nothing in these Terms excludes liability that cannot lawfully be excluded.
9. Force majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including extreme weather, transport disruption, strike action, pandemic or government order. Affected bookings will be rescheduled where possible.
10. Governing law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the English courts. Questions: hello@prism-agency.co.uk.
